MY CAR CONCIERGE PROVIDER SERVICE AGREEMENT

Effective Date: Upon acceptance of this agreement

This Provider Service Agreement ("Agreement") is entered into between My Car Concierge, LLC ("MCC," "Company," "we," or "us") and the undersigned service provider ("Provider," "you," or "your").

1. PLATFORM EXCLUSIVITY & NON-CIRCUMVENTION

1.1. Exclusive Engagement: You agree that all customer relationships initiated through the MCC platform shall be conducted exclusively through MCC for a period of twenty-four (24) months from the date of first contact.

1.2. Non-Circumvention: You explicitly agree NOT to:

• Solicit, contact, or conduct business with any MCC customer outside of the MCC platform
• Provide your personal contact information, business address, phone number, email, or social media to MCC customers for the purpose of conducting business outside MCC
• Accept payment from MCC customers outside of the MCC payment system
• Encourage, suggest, or facilitate any transaction that bypasses MCC
• Offer discounts or incentives for customers to contact you directly

1.3. Anonymous Operation: You understand and agree that your identity will be anonymized on the platform. Members will see only your MCC-assigned provider alias (e.g., "AutoPro #XXXX") and aggregated ratings. Your actual business name and contact information will not be disclosed to members.

2. PENALTIES FOR VIOLATION

2.1. Monetary Damages: Any violation of Section 1 shall result in liquidated damages of:

• The greater of $500 or three times (3x) the MCC platform fee that would have been earned on the circumvented transaction
• Plus 200% of any revenue generated from circumvented transactions
• Plus all legal fees and costs incurred by MCC in enforcement

2.2. Immediate Termination: Any violation shall result in immediate and permanent termination of your provider account with forfeiture of any pending payments.

2.3. Legal Action: MCC reserves the right to pursue all available legal remedies, including but not limited to injunctive relief, actual damages, and statutory damages under applicable unfair business practices laws.

2.4. Industry Reporting: Violations may be reported to relevant industry associations, licensing boards, and business rating services.

2.5. Member Reporting Incentive: You acknowledge that MCC offers financial incentives to members who report circumvention attempts. Members who provide evidence of a provider attempting to conduct business outside the MCC platform may receive a reward of up to 25% of any damages recovered from the violating provider. This incentive program is designed to protect the integrity of the platform and you agree not to contest any such rewards paid to reporting members.

3. MONITORING & ENFORCEMENT

3.1. You acknowledge that MCC monitors platform communications and may investigate suspected violations.

3.2. You agree to cooperate fully with any investigation into potential circumvention.

3.3. MCC may use technology, customer feedback, and other methods to detect circumvention attempts.

4. COMMISSION & PAYMENT TERMS

4.1. MCC charges a platform fee of 7.5% on all completed transactions.

4.2. Payments are held in escrow until job completion is confirmed by the customer.

4.3. Provider payments are processed within 3-5 business days of release from escrow.

5. SERVICE STANDARDS

5.1. You agree to maintain all required licenses, insurance, and certifications.

5.2. You agree to provide services in a professional, timely, and workmanlike manner.

5.3. You agree to communicate promptly and professionally with customers through the MCC platform.

6. TERM & TERMINATION

6.1. This Agreement remains in effect for as long as you maintain an active provider account.

6.2. The non-circumvention obligations in Section 1 survive termination for twenty-four (24) months.

7. GOVERNING LAW & DISPUTE RESOLUTION

7.1. This Agreement shall be governed by the laws of the State of New Jersey.

7.2. Any disputes shall be resolved through binding arbitration in Essex County, New Jersey.

7.3. The prevailing party in any dispute shall be entitled to recover reasonable attorney's fees.

8. ACKNOWLEDGMENT

By signing below, you acknowledge that:

• You have read and understand this entire Agreement
• You have had the opportunity to consult with legal counsel
• You are entering into this Agreement voluntarily
• You understand the serious consequences of violating this Agreement
